    Please read these Terms of Service carefully before using the Strategos Defense website or the Leonidas Network Security Monitoring Service. By accessing our website or engaging our services, you agree to be bound by these terms.
  

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and Strategos Defense ("Company," "we," "us," or "our"), governing your access to and use of the Leonidas Wi-Fi Network Security Monitoring Service and the strategosdefense.com website (collectively, the "Service").

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Leonidas is a Wi-Fi network security monitoring platform that operates through an on-premises appliance deployed at the client's premises. The Service provides:

Continuous network device discovery and monitoring
Device classification, trust management, and risk scoring
Exposure and risk summaries for network devices
A secure, password-protected HTTPS web dashboard
Optional DNS protection and secure remote access management
Event logging, alerting, and CSV data export

All data collected by the Leonidas appliance is stored locally on the client's premises. No network data is transmitted to Strategos Defense servers or third-party cloud services.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Service. By using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Client Responsibilities

By engaging the Service, you represent, warrant, and agree that:

You are the lawful owner or authorized administrator of the network(s) to be monitored
You have obtained all necessary consents and provided all required notices to users of the monitored network(s)
You will use the Service only on networks and devices within the agreed scope
You will not use the Service for any unlawful purpose or to monitor networks you are not authorized to access
You will maintain the security of your dashboard credentials and notify us immediately of any unauthorized access
You will provide accurate information when requesting services or completing any forms

5. Acceptable Use

The following uses are strictly prohibited:

Using the Service to monitor networks, devices, or individuals without proper legal authorization
Attempting to exploit, attack, or interfere with any network device beyond the agreed scanning scope
Reverse engineering, decompiling, or attempting to extract the source code of any Leonidas software
Reselling, sublicensing, or redistributing the Service without prior written consent
Using the Service in any way that violates applicable federal, state, or local law

6. Subscription, Fees & Payment

6.1 Subscription Plans

The Service is offered under monthly subscription plans as described on our pricing page. Subscriptions begin upon deployment of the Leonidas appliance and continue until terminated in accordance with Section 7.

6.2 Fees

Current pricing is as follows:

Leonidas: $100/month (1 site)
Leonidas Pro: $150/month (1 site, includes advanced detection, deeper traffic insights, and priority guidance)
Multi-Site: $150/month per site (2–5 sites)

All fees are subject to change with 30 days' written notice.

6.3 Payment

Subscriptions are billed monthly or annually in advance. Payment is due within 15 days of invoice date. Late payments accrue interest at 1.5% per month. We reserve the right to suspend service for accounts more than 30 days past due.

7. Cancellation & Termination

7.1 Cancellation by Client

You may cancel your subscription at any time with 30 days' written notice to anthony@strategosdefense.com. Fees paid in advance are non-refundable upon client-initiated cancellation.

7.2 Termination by Strategos Defense

We may terminate or suspend your access to the Service immediately upon written notice if you breach these Terms, fail to make payment, or engage in activity that exposes us or others to legal liability. We may also terminate for convenience with 30 days' notice, in which case a prorated refund of prepaid fees will be issued.

7.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Hardware return or retention will be handled per your Service Agreement. You remain responsible for all fees accrued prior to the termination date.

8. Intellectual Property

All software, firmware, documentation, trademarks, and proprietary methods used to deliver the Leonidas Service are and remain the exclusive property of Strategos Defense. These Terms do not grant you any ownership rights in the Service or its underlying technology.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during the subscription term.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. STRATEGOS DEFENSE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES. NETWORK SECURITY MONITORING DOES NOT GUARANTEE THE PREVENTION OF ALL SECURITY INCIDENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATEGOS DEFENSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Strategos Defense and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your breach of any representation or warranty herein; (c) your failure to obtain required consents from network users; or (d) any negligent or wrongful act or omission by you.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration conducted in [Your City, State] under the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email to active subscribers or posted prominently on our website. Continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with your Service Agreement, Statement of Work, and any other agreements executed between the parties, constitute the entire agreement between you and Strategos Defense with respect to the Service and supersede all prior or contemporaneous communications and agreements.
